1. Acceptance of Terms

By accessing or using the zilva.io website, the Zilva ERP application (app.zilva.io), or any services provided by PT Zilva Lawi Teknologi ("Zilva", "we", "us"), you ("User", "client") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Note: Bookkeeping, Custom ERP, and AI Implementation Setup services are provided by a separate entity, PT Lawi Konsultan Indonesia, with their own Terms of Service — see lawiconsulting.com/terms.

2. Description of Service

Zilva provides:

• SaaS ERP — subscription access to the Zilva ERP platform on a self-service basis, including accounting, inventory, payroll, CRM, and other modules according to your subscription tier.

Our services combine artificial intelligence (AI) automation with user control. We do not provide certified public accounting or audit services as regulated by applicable laws in Indonesia (PMK 216/2017).

3. User Accounts

• You are responsible for maintaining the confidentiality of your account credentials (username, password, access tokens) and for all activities that occur under your account.
• You must provide accurate, complete, and current information when registering or during onboarding.
• We reserve the right to suspend or terminate accounts that appear to be misused or violate these terms.

4. Data Ownership and Use

• The data you upload (financial documents, transaction data, employee data, and other business data) remains fully your property.
• We use the data solely to provide the services you request (ERP processing, reporting).
• We do not sell, rent, or share your data with third parties for marketing purposes without your explicit consent.
• You may request the export or deletion of your data in accordance with our Privacy Policy.
• Further provisions regarding data storage and security are set out in our Privacy Policy, which forms an integral part of these Terms of Service.

5. Prohibited Use

You agree not to use our services for:

• Illegal activities, fraud, money laundering, or other violations of the law.
• Uploading false or misleading data that may harm third parties.
• Attempting to access systems, data, or accounts belonging to other users without authorization.
• Reverse engineering, copying, or redistributing our platform's source code without written permission.
• Overloading our systems (for example, through automated scraping or denial-of-service attacks).

6. Intellectual Property

• All software, designs, logos, and content that make up the Zilva platform are the property of PT Zilva Lawi Teknologi and are protected by applicable intellectual property laws.
• You are granted a limited, non-exclusive, and non-transferable license to use our platform in accordance with the subscription tier you select.

7. Fees and Payments

• Subscription fees follow the pricing scheme (tier) in effect when you sign up, as displayed on zilva.io.
• Price changes will be notified in advance via our website or your registered email.
• Late payments may result in suspension of access to services in accordance with your subscription tier policy.

8. Limitation of Liability

• Our services are provided "as is". We strive to maintain the accuracy and reliability of the system, but do not guarantee that the services will always be free from interruptions, errors, or bugs.
• To the extent permitted by applicable law, PT Zilva Lawi Teknologi is not liable for indirect, incidental, or consequential damages arising from the use of our services.
• Business and financial decisions made based on reports or data from our platform remain the full responsibility of the User.
• AI-based features in our platform are designed to assist and speed up work, but still require human review and approval for important decisions (e.g., payment approvals, accounting journals, tax reporting).

9. Termination of Service

• You may terminate your subscription at any time in accordance with your tier's terms.
• We reserve the right to terminate or suspend your access in the event of a breach of these Terms of Service, including but not limited to unlawful or harmful use.
• Provisions regarding your data after termination of service (export, retention, deletion) are governed by our Privacy Policy.

10. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be notified via our website or other official communication channels. Continued use of the service after the changes take effect constitutes your acceptance of the updated terms.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Indonesia. Any disputes arising will be resolved through amicable negotiation, and if no agreement is reached, will be resolved in accordance with applicable Indonesian law.
